For attorneys and CPAs
A registered agent you can name without thinking twice
When you form an entity for a client, someone has to go in the registered agent field. We would like to be the name you write there, and we are aware that recommending us puts your judgment on the line.
HoldenMail is a USPS-compliant Commercial Mail Receiving Agency and registered agent in Franklin, North Carolina. Service of process arrives here, gets logged, and reaches your client the same business day. $147 a year, and nothing else to buy.
Why hand this off at all
You already know the reasons. They are worth stating plainly anyway, because they are the reasons we built the service.
Service of process stops arriving at your office
Naming your firm means process servers come to you, for clients whose matters you may no longer handle, and you carry the duty to reach them.
The client stops using their house
A home address in the registered agent field is public record forever, and most clients do not think about that until it is done.
Somebody is actually there
The requirement is availability during business hours at a physical North Carolina address. We are a real location with real people, not a forwarding arrangement.
How to hand a client to us
1
Email us the entity name and the client's contact. One line is enough. Or give them our address and let them come to us.
2
We send our consent to appointment and the exact address string for the filing, so nothing gets transcribed wrong.
3
You file. We take it from there, and you are out of the chain. Identity verification and Form 1583 are handled on our end, online.
For an existing entity switching to us, the state fee is $5 and processing runs 3 to 5 business days online. North Carolina will administratively dissolve an entity that goes more than 60 days without a registered agent, so a resignation is worth handling promptly.
What we commit to
- Service of process logged on receipt, scanned, and delivered to the client the same business day. Originals forwarded.
- Availability at a physical North Carolina address during business hours, which is the actual legal requirement.
- A courtesy annual report reminder to the client before April 15. Filing the report stays with them, and we say so plainly on our public pages.
- No referral fees, either direction. Nothing about this arrangement should complicate your professional conduct obligations.
- If we ever resign as agent for a client, North Carolina requires us to give the entity written notice of the resignation. We will tell you at the same time.
Our Terms of Service are public and complete, including the fee schedule and the abandoned mail provisions. We would rather you read them than take our word for it.
What we are not
We are not a law firm and we do not give legal advice. We do not form entities, file annual reports, or interpret documents for clients. When a client asks us a legal question, we tell them to call you.
We are also not an aggregator. Mail addressed to a client arrives at our address and is handled here, not routed through a central facility first.
If the client needs more than an agent
Plenty of them also need a business street address, for the bank, for Stripe, for invoices they would rather not send from a home address. That is our other service, and it works the same way.
Ask us anything before you send a client
Happy to answer questions about process, insurance, or how we handle a specific situation. You are vouching for us, and you should be satisfied first.
