Commercial Mail Receiving Agency and Virtual Mailbox Terms of Service

This Agreement governs mail receiving, scanning, forwarding, and related services provided by HoldenMail LLC, a North Carolina limited liability company.

Effective date: September 22, 2026

This Commercial Mail Receiving Agency (CMRA) and Virtual Mailbox Terms of Service ("Agreement") is entered into by and between HoldenMail LLC, a North Carolina limited liability company ("HoldenMail," "Company," "CMRA," or "Service Provider"), and the individual or business entity identified in the signature block of this Agreement ("Client").

HoldenMail and Client may be referred to individually as a "Party" and collectively as the "Parties."

ARTICLE 1

DEFINITIONS

For purposes of this Agreement, the following terms shall have the meanings set forth below unless the context clearly requires otherwise.

1.1 Authorized Recipient

"Authorized Recipient" means an individual designated in writing by the Client and approved by HoldenMail to receive mail, packages, account information, or instructions on behalf of the Client.

1.2 Client

"Client" means the individual, corporation, Limited Liability Company, partnership, nonprofit organization, trust, or other legal entity receiving Services under this Agreement.

1.3 Mail

"Mail" means letters, envelopes, flats, certified mail, registered mail, governmental correspondence, and other postal items delivered through the United States Postal Service or another authorized carrier.

1.4 Package

"Package" means any parcel, shipment, box, courier delivery, or other physical item delivered by USPS, UPS, FedEx, DHL, Amazon, or another commercial carrier.

1.5 Innbocks Customer Platform

" Innbocks Customer Platform" means HoldenMail's password-protected electronic platform, including the Innbocks platform or any successor platform authorized by HoldenMail, through which Clients may securely access mail images, account information, forwarding requests, invoices, notifications, and other Services.

1.6 Service Plan

"Service Plan" means the subscription selected by the Client specifying applicable fees, storage limits, scanning services, forwarding options, and other Service features.

1.7 USPS Form 1583

"USPS Form 1583" means the United States Postal Service Application for Delivery of Mail through Agent authorizing HoldenMail to receive mail on behalf of the Client.

ARTICLE 2

ACCEPTANCE OF TERMS

2.1 Acceptance

By signing this Agreement, completing the online enrollment process, submitting USPS Form 1583, or using HoldenMail's Services, the Client acknowledges that it has read, understood, and agrees to be bound by this Agreement.

2.2 Electronic Signatures

Electronic signatures, records, and communications are valid and enforceable to the fullest extent permitted by applicable law.

2.3 Changes to this Agreement

HoldenMail may update this Agreement, its Service Plans, or schedules by providing at least thirty (30) days' prior notice. Continued use of the Services after the effective date constitutes acceptance of the revised terms.

ARTICLE 3

ACCOUNT ELIGIBILITY AND USPS AUTHORIZATION

3.1 Eligibility

To receive Services, the Client must:

  • —be at least 18 years of age or otherwise have legal capacity;

  • —complete HoldenMail's enrollment process;

  • —properly complete USPS Form 1583;

  • —provide all required identification;

  • —maintain accurate contact and forwarding information; and

  • —comply with applicable law and USPS requirements.

3.2 Business Accounts

Business Clients shall provide organizational documents reasonably requested by HoldenMail to verify the entity's existence and authority.

3.3 Accuracy of Information

The Client represents that all information provided is accurate and agrees to promptly update any changes affecting the account or USPS Form 1583. HoldenMail may refuse, suspend, or terminate Services if false or fraudulent information is provided or required documentation is not maintained.

ARTICLE 4

SERVICES

4.1 Mail and Package Receipt

HoldenMail will receive Mail and Packages addressed to the Client at its CMRA location in accordance with USPS regulations and this Agreement.

4.2 Notifications and Digital Mail

HoldenMail will make reasonable efforts to provide same-day notification and scan eligible mail received during normal business hours. Scanned mail will be available through the Innbocks Customer Platform. Electronic copies are provided for convenience and do not replace original documents.

4.3 Mail Management

Subject to the Client's Service Plan, HoldenMail provides mail scanning, digital mail management, forwarding, pickup, shredding, and other available mail management services through the Innbocks Customer Platform or another approved communication method.

4.4 Mail Forwarding

The Client shall maintain a current forwarding address and submit forwarding requests through the Innbocks Customer Platform, email, or another approved method. Mail and Packages will be forwarded in accordance with the selected Service Plan or the Client's instructions after applicable fees have been paid. HoldenMail may use USPS or other commercial carriers. The Client is responsible for applicable postage, shipping, customs, insurance, and carrier charges. Responsibility for forwarded Mail and Packages transfers to the Client upon delivery to the selected carrier. HoldenMail is not responsible for carrier delays, loss, theft, or damage occurring after transfer to the carrier.

4.5 Storage

Mail and Packages will be stored for the period included in the selected Service Plan or Schedule B. HoldenMail may establish reasonable limits regarding storage duration, quantity, size, and weight. Additional storage or handling fees may apply after the included storage period. Oversized Packages may be refused or accepted subject to additional fees. Unclaimed Mail and Packages will be handled in accordance with this Agreement.

4.6 Authorized Recipients

The Client may designate Authorized Recipients as permitted by the selected Service Plan. Mail and Packages may be released only to the Client or an Authorized Recipient who satisfies HoldenMail's identification requirements.

4.7 Service Limitations

HoldenMail provides administrative mail management services only and does not provide legal, tax, customs brokerage, insurance, or other professional services. HoldenMail may refuse items prohibited by law, USPS regulations, carrier requirements, or this Agreement.

ARTICLE 5

PROHIBITED ITEMS

5.1 Prohibited Items

The Client shall not use HoldenMail's Services to receive, store, or forward any item prohibited by applicable law, USPS regulations, commercial carrier requirements, or this Agreement, including hazardous materials, explosives, illegal drugs, biological materials, perishable goods, live animals, currency, counterfeit goods, stolen property, firearms prohibited by law, or other unsafe or restricted items.

5.2 Refusal and Inspection

HoldenMail may refuse, isolate, return, inspect, report, or surrender any Mail or Package that appears unlawful, hazardous, fraudulent, damaged, suspicious, or otherwise presents a safety, security, or legal concern, or when required by applicable law, USPS regulations, court order, or law enforcement.

5.3 Client Responsibility

The Client remains solely responsible for all Mail and Packages addressed to the Client and for ensuring compliance with applicable law, USPS regulations, and this Agreement.

ARTICLE 6

CLIENT RESPONSIBILITIES

6.1 Client Responsibilities

The Client agrees to:

  • —provide and maintain accurate account, contact, and forwarding information;

  • —maintain a valid USPS Form 1583 and promptly provide any updated information or documentation required by USPS regulations or HoldenMail;

  • —regularly monitor the Innbocks Customer Platform, email, and other communications from HoldenMail;

  • —timely pay all fees and charges due under this Agreement;

  • —use the Services only for lawful purposes and in compliance with applicable law and USPS regulations;

  • —protect account credentials and prevent unauthorized access to the Client's account or Mail;

  • —promptly cooperate with reasonable requests for information, identity verification, or compliance documentation; and

  • —ensure that neither the Client nor its use of the Services violates applicable sanctions or other legal requirements.

The Client remains responsible for all Mail and Packages received through its account and for any loss, liability, or expense resulting from its misuse of the Services. HoldenMail may refuse, suspend, or terminate Services for failure to comply with this Agreement or applicable law.

ARTICLE 7

FEES AND PAYMENT

7.1 Fees

The Client shall pay all fees associated with the selected Service Plan and any additional services shown in HoldenMail's current Fee Schedule.

7.2 Payment

Recurring subscription fees are due in advance unless otherwise agreed. Additional service charges become due upon invoicing. HoldenMail may accept payment by Stripe, ACH, credit card, debit card, or other approved payment methods.

7.3 Additional Charges

The Client is responsible for postage, shipping, storage, package handling, scanning beyond plan limits, taxes, and other optional services requested by the Client.

7.4 Late Payments

Late or unsuccessful payments may result in interest, administrative fees, suspension or termination of Services, or other remedies permitted by law. HoldenMail may modify its Fee Schedule upon thirty (30) days' prior notice.

ARTICLE 8

PRIVACY AND CONFIDENTIALITY

8.1 Protection of Information

HoldenMail will use commercially reasonable administrative, physical, and technical safeguards to protect Client information and Confidential Information received in connection with the Services.

8.2 Use and Disclosure

HoldenMail may collect, use, retain, and disclose Client information as reasonably necessary to provide the Services, process payments, comply with legal or USPS requirements, prevent fraud, maintain business records, or as otherwise required by law. HoldenMail may use trusted third-party service providers, including the Innbocks Customer Platform, Stripe, cloud-storage providers, communication platforms, USPS, and commercial carriers.

8.3 Electronic Communications

The Client acknowledges that electronic communications cannot be guaranteed to be completely secure. HoldenMail will use commercially reasonable efforts to protect electronic communications but is not responsible for events beyond its reasonable control.

8.4 Confidentiality

Each Party agrees to protect the other Party's Confidential Information and use it only as necessary to perform this Agreement or as required by law. These obligations do not apply to information that is publicly available, independently developed, lawfully obtained from another source, or required to be disclosed by law.

8.5 Security Incidents

If HoldenMail becomes aware of a security incident requiring notification under applicable law, HoldenMail will provide notice as required and take commercially reasonable steps to mitigate the effects of the incident.

8.6 Survival

The obligations contained in this Article survive termination of this Agreement to the extent required by applicable law.

ARTICLE 9

LIMITATION OF LIABILITY

9.1 Standard of Care

HoldenMail will exercise commercially reasonable care in providing the Services but does not guarantee uninterrupted, error-free, or timely performance.

9.2 Third-Party Services and Client Information

HoldenMail is not liable for delays, loss, damage, or service interruptions caused by the United States Postal Service, commercial carriers, governmental agencies, internet or cloud service providers, or other third parties beyond HoldenMail's reasonable control. HoldenMail is also not responsible for losses resulting from inaccurate information or instructions provided by the Client or an Authorized Recipient.

9.3 Limitation of Liability

To the fullest extent permitted by law:

  • —HoldenMail is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, business interruption, or loss of goodwill.

  • —HoldenMail's total liability arising from this Agreement shall not exceed the total fees paid by the Client during the twelve (12) months immediately preceding the event giving rise to the claim.

9.4 Mail Inspection

Except as required by law or expressly authorized by the Client, HoldenMail has no duty to inspect or verify the contents of sealed Mail or Packages.

ARTICLE 10

SUSPENSION AND TERMINATION

10.1 Suspension of Services

HoldenMail may suspend all or part of the Services if the Client:

  • —fails to pay amounts due;

  • —fails to maintain required USPS authorization or documentation;

  • —violates this Agreement, applicable law, or USPS regulations;

  • —engages in fraudulent, unlawful, or prohibited activity; or

  • —otherwise creates a legal, operational, or security risk.

During any suspension, HoldenMail may refuse additional Mail or Packages, suspend scanning, forwarding, or account access, and take other reasonable actions necessary to protect its operations or comply with applicable law.

10.2 Reinstatement

Services may be restored after the Client corrects the condition giving rise to the suspension, pays all outstanding amounts, and satisfies any reasonable reinstatement requirements.

10.3 Termination

This Agreement remains in effect until terminated by either Party.

The Client may terminate the Agreement by providing written notice and paying all outstanding amounts.

HoldenMail may terminate the Agreement immediately if the Client:

  • —materially breaches this Agreement;

  • —fails to pay required fees;

  • —provides false or misleading information;

  • —violates applicable law or USPS regulations;

  • —fails to maintain required USPS authorization; or

  • —engages in conduct that threatens HoldenMail, its employees, or other Clients.

10.4 Effect of Termination

Upon termination:

  • —HoldenMail's obligation to provide Services ends, except as required by law.

  • —The Client remains responsible for all accrued fees and obligations.

  • —Remaining Mail and Packages will be handled in accordance with this Agreement and applicable law.

10.5 Survival

Provisions relating to payment obligations, confidentiality, limitation of liability, dispute resolution, governing law, and any other provisions intended to survive termination will remain in effect.

ARTICLE 11

ABANDONED MAIL AND ADDRESS USE

11.1 Abandoned Mail

Mail or Packages remaining unclaimed after termination of this Agreement or after expiration of the applicable storage period may be deemed abandoned. Where commercially reasonable and legally permitted, HoldenMail will make reasonable efforts to notify the Client before treating Mail or Packages as abandoned.

11.2 Disposition of Mail

Subject to applicable law and USPS regulations, HoldenMail may, in its discretion:

  • —return Mail or Packages to the sender;

  • —forward them to the Client at the Client's expense;

  • —surrender them to USPS or another governmental authority;

  • —securely destroy confidential materials; or

  • —otherwise dispose of abandoned property as permitted by law.

HoldenMail is not liable for the lawful disposition of abandoned Mail or Packages, and the Client remains responsible for all storage, forwarding, postage, disposal, and other accrued charges.

11.3 Use of HoldenMail Address

The Client may use HoldenMail's CMRA address only in connection with the Services and in compliance with applicable law and USPS regulations. Use of the address does not establish residency, tenancy, or any property interest. HoldenMail does not guarantee acceptance of its address for business registration, licensing, banking, tax, or other governmental purposes. HoldenMail may change its mailing address upon reasonable notice to the Client.

ARTICLE 12

FORCE MAJEURE

12.1 Force Majeure

HoldenMail is not liable for delays, interruptions, or failures caused by events beyond its reasonable control, including natural disasters, severe weather, pandemics, war, terrorism, labor disputes, governmental actions, utility failures, internet or communication outages, cyberattacks, carrier interruptions, or similar events. During such events, HoldenMail may temporarily suspend or modify the Services and will use commercially reasonable efforts to resume normal operations as soon as practicable.

ARTICLE 13

GENERAL PROVISIONS

14.1 Entire Agreement

This Agreement, together with its schedules, Service Plans, and any amendments, constitutes the entire agreement between the Parties concerning the Services and supersedes all prior oral or written agreements relating to its subject matter.

14.2 Amendments

HoldenMail may amend this Agreement in accordance with Article 2. No other modification is effective unless made in writing by HoldenMail or otherwise expressly permitted by this Agreement.

14.3 Assignment

The Client may not assign or transfer this Agreement without HoldenMail's prior written consent. HoldenMail may assign this Agreement in connection with a merger, acquisition, sale of assets, affiliate transfer, or other business reorganization.

14.4 Notices

Notices under this Agreement may be provided by email, the Innbocks Customer Platform, certified mail, recognized courier, or any other method reasonably calculated to provide notice.

14.5 Severability and Waiver

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect. A Party's failure to enforce any provision does not constitute a waiver of that provision or any other provision.

Note: Combining Severability and Waiver is common commercial drafting practice.

14.6 Electronic Signatures

Electronic signatures, records, and communications are valid and enforceable to the fullest extent permitted by applicable law.

SCHEDULE A

FEE SCHEDULE

This Schedule establishes the fees applicable to the Services provided by HoldenMail LLC. The Client agrees to pay all fees associated with the selected Service Plan and any additional services requested. Unless otherwise stated, all fees are non-refundable and payable in accordance with Article 10 of this Agreement.

SECTION G

SHIPPING AND THIRD-PARTY CHARGES

The Client shall be solely responsible for the payment of all third-party costs incurred in connection with the Services, including but not limited to:

(a) USPS postage;

(b) UPS shipping charges;

(c) FedEx shipping charges;

(d) DHL shipping charges;

(e) Customs duties;

(f) Import taxes;

(g) Shipping insurance requested by the Client;

(h) Carrier surcharges;

(i) Governmental fees;

(j) Packaging materials; and

(k) Any other third-party expense incurred on behalf of the Client.

SECTION H

TAXES

Unless otherwise required by Applicable Law, all fees are exclusive of applicable federal, state, and local taxes. The Client shall be responsible for payment of all taxes imposed upon the Services, excluding taxes imposed solely upon HoldenMail's income.

SECTION I

FEE MODIFICATIONS

HoldenMail reserves the right to modify this Fee Schedule at any time upon thirty (30) days' prior written notice to the Client. Notice may be provided through the Innbocks Customer Platform, electronic mail, HoldenMail's website, or another authorized communication method. Continued use of the Services after the effective date of the revised Fee Schedule shall constitute the Client's acceptance of the modified fees.

SECTION J

NON-REFUNDABLE FEES

Unless expressly stated otherwise in writing, subscription fees, setup fees, administrative fees, mail scanning fees, forwarding fees, storage fees, handling fees and other service charges are non-refundable once the applicable Service has been performed or made available.

SCHEDULE B

STORAGE LIMITS

Standard Mail is stored for thirty (30) days before storage charges begin. Packages are subject to the shorter storage periods listed below because of space and handling requirements.

Additional Storage Charges

After the included storage period expires, additional storage fees may apply in accordance with Schedule A – Fee Schedule.

Unclaimed Mail and Packages

Mail and Packages remaining unclaimed after the applicable storage period shall be handled in accordance with Article 11.

Storage Policy

Storage periods begin on the date Mail or Packages are received by HoldenMail. Storage availability may be limited by space, operational capacity, safety considerations, or Applicable Law.

SCHEDULE C

MAIL FORWARDING PROCEDURES

HoldenMail generally follows the procedures below when forwarding Mail and Packages:

1. Mail is processed according to the Client's Service Plan.

2. Forwarding requests are submitted through the Innbocks Customer Platform or by email.

3. Legal notices are given priority and may be forwarded by overnight delivery when requested or included in the Service Plan.

4. Shipment tracking is retained when available.

5. The Client remains responsible for postage, carrier charges, customs fees, and other shipping costs.

6. Risk of loss transfers to the Client upon delivery to the selected carrier.

SCHEDULE D

PROHIBITED ITEMS

Schedule D summarizes examples of Prohibited Items. The complete rules governing prohibited items are contained in Article 5 of this Agreement.

SCHEDULE E

USPS FORM 1583 DOCUMENT CHECKLIST

Before Services begin, the Client must provide:

  • —A properly completed USPS Form 1583;

  • —Two acceptable forms of identification;

  • —Any business-entity documents requested by HoldenMail; and

  • —Current contact and forwarding information.

The Client must promptly update this information throughout the term of the Agreement.
